These Terms of Service ("Terms") govern your access to and use of the services provided by JOVEpay ("Company", "we", "us", or "our"). Please read these Terms carefully before using our platform. By creating an account or using our services, you acknowledge you have read, understood, and agree to these Terms.
1. Acceptance of Terms
By accessing or using the JOVEpay platform, API, plugins, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree to these Terms, do not use the Services.
2. Description of Services
JOVEpay provides a cryptocurrency payment processing platform that enables merchants to accept cryptocurrency payments from customers. Our Services include, but are not limited to: • Payment processing API and developer tools • Payment widgets, buttons, and hosted pages • Invoice generation and delivery • Subscription and recurring billing management • Mass payout functionality • Currency conversion and settlement services • Dashboard and reporting tools We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
3. Account Registration and KYC
To use the Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials and for all activity under your account. As a regulated financial services provider, we are required to conduct identity verification (KYC — Know Your Customer) and Anti-Money Laundering (AML) screening. By creating an account, you agree to: • Provide accurate identity and business information when requested • Submit to identity verification procedures • Not use the Services for illegal activities, money laundering, terrorist financing, or fraud • Notify us immediately of any unauthorized access to your account We reserve the right to suspend or terminate accounts that fail to complete verification or that we reasonably suspect of illegal activity.
4. Fees and Payment
Current fee information is available on our Pricing page. Fees are subject to change with 30 days written notice. Key fee terms: • Service Commission: Currently 0.5% for monocurrency payments and 1% for payments with conversion. This fee is deducted automatically from each transaction. • Network Fees: Blockchain network fees are separate from our service commission and are passed through at cost. These fees are paid to miners and validators, not to JOVEpay. • Zero Deposit Fee Promotion: USDT TRC20 deposit fees are currently waived. This offer may be discontinued with 30 days notice. All fees are non-refundable except where required by applicable law.
5. Prohibited Activities
You may not use the Services for: • Illegal goods or services, including controlled substances, weapons, or counterfeit items • Activities that violate applicable laws or regulations in your jurisdiction or the customer's jurisdiction • Adult content services (unless specifically approved by JOVEpay ) • Gambling and gaming services (unless specifically approved and licensed) • Pyramid schemes, Ponzi schemes, or fraudulent investment programs • Activities on OFAC sanction lists or involving sanctioned countries or individuals • Circumventing currency exchange controls • Activities designed to manipulate cryptocurrency markets Violation of this section may result in immediate account termination and may be reported to applicable law enforcement authorities.
6. Transaction Finality
Cryptocurrency transactions are irreversible once confirmed on the blockchain. You acknowledge and agree that: • You are solely responsible for providing accurate wallet addresses for settlement • Transactions sent to incorrect addresses cannot be reversed or recovered by JOVEpay • We bear no liability for losses resulting from your provision of incorrect wallet information • Refunds to customers must be initiated and funded by you; we will not unilaterally reverse transactions • Partial payments may be accepted or rejected per your account configuration
7. Intellectual Property
The Services, including all software, APIs, documentation, design elements, and branding, are owned by JOVEpay and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services as permitted under these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services, or reverse engineer or attempt to extract the source code of our software, except as permitted by law or with our written consent. The JOVEpay name, logo, and associated trademarks are our property. You may not use them without prior written permission, except as permitted in our Brand Guidelines.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JOVEpay AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE. Our total liability to you for any claims arising from or related to the Services shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim, or (b) $100 USD. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
You agree to indemnify, defend, and hold harmless JOVEpay and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: • Your use of the Services • Your violation of these Terms • Your violation of any third-party rights, including intellectual property rights • Any content you submit through the Services • Your violation of any applicable law or regulation
10. Dispute Resolution
Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration administered by an agreed-upon arbitration body. Notwithstanding the above, either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. CLASS ACTION WAIVER: You agree that any arbitration or court proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action.
11. Governing Law
These Terms are governed by and construed in accordance with applicable international commercial law, without regard to conflict of law provisions. For users in the European Union, mandatory consumer protection provisions of EU member states may apply in addition to these Terms.
12. Changes to Terms
We may modify these Terms at any time. For material changes, we will provide at least 30 days notice via email to registered account holders or prominent notice on our website. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and may close your account.
